CAC stops customers from visiting Lagos, Abuja offices

In line with current realities of the COVID-19 pandemic, the Corporate Affairs Commission has barred customers from physically visiting its office premises in Abuja and Lagos to carry out business transactions.

According to a public notice released through its verified Twitter accounts on Thursday, the CAC said customers would be required to send and receive documents from the commission through designated courier companies from August 10 to August 31, 2020.

The commission said this would help it reduce the number of persons in its offices while ensuring a convenient process for the accessibility of its services.

It promised to set up a mechanism to allow customers send and receive documents via email.

The statement said, “With this, the physical submission of original documents before collection of pre-incorporation certificates will be dispensed with.

“The documents uploaded online by the customer and approved for the registration would suffice.”

It said this new development would place a responsibility on customers to make sure that their documents were signed by the person’s name appearing in any transaction they were seeking.

  • Badagry king mysteriously signed CAC documents 9 years after death

The Police Special Fraud Unit (SFU) has alleged at an Ikeja Special Offences Court that late Oba Afolabi James of Kweme, Badagry in Lagos had mysteriously signed some Corporate Affairs Commission (CAC) forms in 2011, nine years after his death.
The king died on Jan. 30, 2002.
The SFU claimed that while investigating Semasa James, a son to the late king, accused of defrauding his 26 siblings of their N500 million inheritance, they uncovered suspicious signatures purportedly signed by the dead king in documents of CAJ Industrial Enterprises, the deceased’s company.
The News Agency of Nigeria (NAN) reports that on Friday during trial of Semasa and Afolabi Kazeem, his personal assistant over the alleged fraud, Mr Oluwafemi Olabisi, the Prosecutor for the SFU in order to prove that the king’s signature on the company’s document was forged, had subpoenaed the CAC as a witness.
Representing the CAC was Mr Christopher Etim, a compliance officer, who testified as the 13the prosecution witness.
While being led in evidence by Olabisi, Etim said that he had brought before the court, copies of some CAC documents namely; Form CAC 2.1 – particulars of company secretary- Form CAC 3 -change of registered address and Form CAC 7, particulars of directors.
The CAC compliance officer informed the court that the late king’s signature and the defendant’s signature were appended in CAC forms in the years 2011 and 2012.
Etim said: “In form CAC 7, James Afolabi Ogungbe, the late king is named as the first director; the second director is named James Kola Semasa, the first defendant.
“On the column for remarks: it states appointed, and there are no directors aside the first and second directors.
“The signature on the second page belongs to James Afolabi Ogungbe and the signature was signed on Nov. 28, 2011.
“The resolution is signed by the first director James Afolabi Ogungbe. I arrived at that conclusion from Form CAC 7.
“Form CAC 2.1, is particulars of persons who is the company secretary of the company or any person therein, it was signed by Mr James Kola Semasa and Mr James Afolabi Ogungbe on March 21, 2012.
“Form CAC 3, is the notice of situation or change of registered address.
“Mr James Kola Semasa signed as a director in this form and there is a resolution attached to same, signed by Mr James Kola Semasa and Mr James Afolabi Ogungbe on Nov. 24, 2016.”
While being cross-examined by the defence counsel, Mr Martin Oyigbo, Etim reiterated that although he was not a signature or handwriting expert, as a legal practitioner and compliance officer, he was conversant with the documents he presented before the court.
The witness also emphasised that the signatures in all the CAC forms he presented before the court were consistent and the same.
“When documents are presented for verification, all these stamps are not on it. If you look closely at these signatures you will safely conclude that they are the same.
“The original resolution was signed by the same person. The signature on the left hand side is Mr James Kola Semasa while that on the right is Mr James Afolabi Ogungbe.
“These documents come before us at CAC every other day. I can safely say that these signatures contained in Form CAC 7 are the same in the other documents,” Etim said.
Following Etim’s testimony, Olabisi informed the court that the SFU would be closing their case against the defendants.
Justice Oluwatoyin Taiwo adjourned the case until Oct. 16 and Oct.17 for defence.
NAN reports that Semasa is facing a five-count charge of stealing, forging of company resolution, fraudulent disposing of trust property and forgery.
Kazeem and the Badagry prince are jointly charged with two-counts of conspiracy to defraud and cheating.
The SFU alleged that the prince abused his position of trust as an administrator of his late father’s estate by fraudulently converting N500 million property from 2000 to 2017 in Lagos.
“According to the second count of the charge, the defendant had in 2011, forged the resolution of a company called CAJ Industrial Enterprises, dated Nov. 28, 2011.
“He had purported that the resolution was signed by his father, who was one of the directors of the company. Meanwhile, his father had died nine years earlier on Jan. 30, 2002.
“The defendant had forged the resolution with the intent that it will be acted upon as genuine to the prejudice of any person,” he said.
The prosecutor noted that Semasa had fraudulently sold a property, belonging to the late king’s estate, located at Plot 1440, Ilesanmi St., Itire Road, Surulere, to a private individual.
He also illegally leased another estate property, located at Plot 282 Ajose Adeogun St., Victoria Island, Lagos to Ecobank Plc.
The SFU prosecutor also threw some light on Kazeem’s alleged role as an accomplice in defrauding the late king’s estate.
“Sometime in 2017 in Lagos, Semasa and Kazeem fraudulently tricked and cheated the beneficiaries of the late king of N150 million which was part of the proceeds of sale of a property, located at Dideolu Estate, Victoria Island, Lagos,” Olabisi said.
The prosecutor noted that Semasa had also forged a purchase receipt, dated Nov. 15, 2004 and an undated deed of assignment between himself, Bolarinwa James, Mrs Alakija – nee James, Hon. Justice Adebayo Adeniji and Mrs Saidat Taiwo.
The offences contravene Sections 383(1), 383(2)(f), 390(9), 421,434, 465 and 467 of the Criminal Code, Laws of the Federation of Nigeria 2004.

  • Buhari needs our prayers not complains – CAC President

The President, Christ Apostolic Church (CAC) Worldwide, Pastor Abraham Akinosun on Saturday urged churches to stop complaining but pray for President Muhammadu Buhari to overcome challenges facing the nation.

Akinosun made the appeal while ministering at the Grand Finale of a Seven-Day Fasting and Prayer at Ikoyi Mountain Ero-Omo Village, Osun for the nation on Saturday morning.

The prayer was organised by Evangelist Felix Adunpe, General Overseer, Signs and Wonders Prayer Ministries in collaboration with the CAC, held between April 21 and April 27.

The prayer, which had hundreds of Christians praying from 11 pm to 4am, was tagged: “Nigeria Must be Redeemed”.

Akimosun, the former Chairman of the Christian Association of Nigeria, said that only God could redeem Nigeria from her present predicaments.

According to the cleric, who read from Psalm 122: 6 and Jeremiah 29:11, God loves Nigeria and would heal the nation of her current socio-economic and security challenges with prayers.

“Leaders fail when people fail to pray. Stop abusing and cursing our leaders because as you curse them the consequences will be borne by all citizens.

“If we pray for our leaders, God will inspire them and everything will be all right. We should not lose hope in Nigeria.

“Let us pray for peace, progress and prosperity of the nation. We need to pray for economic resurgence and prosperity. We need God’s intervention in this country.

“We need to pray for this nation because of innocent people that are being slaughtered everyday. Let’s pray for the redemption of this country.

“It is important we pray for the President. It is our response as children of God to pray for our leaders and the country. If we fail, many evil will be springing up,” he said.

According to Akinosun, Nigerians must bring to fore sincere love for the country and shun hatred because it is the only country we possess.

He said that Nigeria required a forthright leadership that would lead her to desired destinations of economic advancement, peace and prosperity.

The cleric, who cautioned against self defence, said that such step would make killings more rampant in the nation.

He added:”Let’s cry to God. This is the work of the church. The hope of every nation is the church. People continue to rebuke the church if we fail to do our responsibility.

“We have God that answers prayers. If we can reverence God by asking forgiveness, God will heal our land. It now clear that this nation needs prayers for the leadership and the followership.”

The cleric, who urged the Federal Government to restructure the security architecture of the country, expressed dissatisfaction over recurrent killings and economic hardship facing Nigerians.

Akinosun, who also called for an end corruption, ritualism, kidnapping, urged the political leaders to be alert to their responsibility and be selfless to end crisis.

“The president must do everything in his capacity to see that the killings stop,” he added.

He later led the people into serious prayer for nation’s redemption and intervention in her governance, saying sacking the President would not solve Nigeria’s problem.

Also Pastor Elisha Alalade, Oke Osun DCC Superintendent and Chairman/Presiding Pastor, CAC Ori- Oke IIkoyi ( Ikoyi Mountain ) said in his address, said that Nigeria’ was facing a battle that must be won spiritually.

“All these killings are devil’s work to set Nigeria on fire. Where there is no peace, there will be no prosperity. It’s time to pray.

“The moment we win the spiritual battle, the nation will move forward. God will intervene and darkness will vanish. Nigeria must be redeemed,” Alalade said.

The cleric, who led the congregation in fervent prayers for peace and God’s intervention in Nigeria’s governance, asked God to terminate all works of Satan.

In his remarks, Adunpe, co-host of the prayers noted that God revealed him that the nation had exalted idols through the hostage of Festival of Arts and Culture ( FESTAC ) in 1977 and demoted God.

He said God directed him to hold the prayers on the mount, adding: “Before Nigeria can enjoy peace and unity and make progress, Nigerians must pray and ask for God’s forgiveness.

“There is hope for Nigeria as God will intervene, peace will reign after this prayer,’” Adunpe assured.

The newsmen reports that hundreds of Nigerians across denominations prayed God to forgive the nation’s sins of bloodletting, occultism, ritualism, idolatry among others.

They also prayed for peace, unity, and end to killings as well as economic prosperity of the nation.

  • CAC restates commitment to ease business registration process

The Corporate Affairs Commission (CAC) says it is committed to improving the country’s ease of doing business to drive economic rebound and growth.

Lady Azuka Azinge, Acting Registrar-General, CAC, made the assertion during CAC Quarterly Customers’ Forum on Wednesday in Lagos.

She said that the commission’s goal was to enable more businesses, especially for the Micro, Small and Medium Enterprises (MSMEs) to have access to online registration to deepen the formal sector.

“CAC aligns with Federal Government’s agenda of boosting growth of the economy through increased economic activities, employment creation, infrastructure provision and making Nigeria one of the world’s top investment destination.

“The commission embarked on several reforms aimed at easing business registration in the country and the strategic reforms includes, decentralisation of its operations and deployment of the Company Registration Portal (CRP).

“Others include integration of the Company Registration Portal (CRP) to the Stamp Duty Portal of the Federal Inland Revenue Service (FIRS) to further ease the process of company registration,’’ Azinge said.

She noted that to further ease business registration, the commission extended its working hours to 7 p.m. in its Lagos office and at its six geo-political zonal offices.

“I am pleased to state that as at today, registration services can now be done online in all our 36 state offices.

“I am also glad to inform you that the commission intends to extend its online services to post-registration services as soon as possible.

“Once that feat is attained, all of the commission’s services will be available electronically.

“The target is to make things easier and convenient, such that anything to do with your business in the commission can be started and concluded with ease and speed,’’ she said.

Azinge noted that to effectively deliver on its statutory mandate, CAC was working closely with National Assembly on the amendment of its enabling law, the Companies and Allied Matters Act (CAMA).

“The thrust of the amendment is to enhance the commission’s supervisory and enforcement powers so that it can better regulate in line with global standards,’’ she said.

Mr Dapo Abiodun, Chairman, CAC Board, said that it would support the reform initiatives of the commission in tandem with the present administration’s ease of doing business agenda and position CAC to become a world class company’s registry.

“I want to assure you that as a board, we are determined to pursue our mandate vigorously for the benefit of Nigerian economy and urge you all to support us to achieve this herculean task,’’ he said.

Mr Degu Agboade, President, National Association of Small and Medium Enterprises (NASME), said that data from National Bureau of Statistics (NBS), revealed that 37.9 billion SMEs are in the country, adding that 90 per cent of the SMEs were in the informal sector.

He said that there was need for effective collaboration towards bringing in more MSMEs into the formal sector through ease of business registration.

  • CAC set to register companies within two hours of application

The Corporate Affairs Commission (CAC) has reiterated its commitment to complete company registration processes within two hours of the application starting from December this year.

The Acting Registrar-General, CAC, Azuka Azinge, stated this on Thursday during the oversight visit of the Senate Committee on Trade and Investment to the commission’s Lagos office in Alausa, Ikeja.

She said the various innovations that the commission had put in place had created an enabling environment for customers to register their businesses within 24 hours in line with global standards.

This, according to her, has contributed to the improvement in the country’s global ranking in the World Bank’s Ease of Doing Business Report by 24 places in 2017.

Azinge stated, “The post-registration is still manual. We are hoping that before the next few months, we should have that online, so that the issue of paying annual returns, which is still very cumbersome at the moment, can be easily achieved.

“We are still working and improving on the pre-registration infrastructure platform. We are hoping that as we continue to do that, the pre-registration process will also become faster, with less complaints from the customers. We want to reduce the 24 hours it takes to register a company to two hours. We are hoping to do that maybe by the end of the year or before that.”

Noting that the Senate committee had already conducted a public hearing on the amendment of the Companies and Allied Matters Act, she said the enactment of a new CAMA, reflecting some of the best practices in company registration and administration, would boost the country’s global ranking.

  • Cost of business registration in Nigeria now cheaper – CAC

The Registrar-General, Corporate Affairs Commission (CAC), Mr. Bello Mahmud, said on Tuesday in Abuja that the cost of business registration in Nigeria was now cheaper and its process simplified to enable small entrepreneurs to register their businesses.

Muhmud announced this in a statement by Head, Public Affairs, CAC, Mr Godfrey Ike.

Muhmud disclosed this while addressing the Micro, Small and Medium Enterprise (MSME) Clinic.

He said that with the Company Registration Portal (CRP), any member of the public could now register businesses on-line at the comfort of their homes and offices.

“This has drastically reduced the registration cost hitherto charged by professional middlemen (Lawyers, Accountants and Chartered Secretaries), in the registration process.

“Entrepreneurs who had already registered their businesses have the obligation to file Annual Returns with the Commission as and when due.

” Failure to file Annual Returns will result to striking-off of such defaulting entities on ground of dormancy.

” The MSME Clinic is an initiative of the Office of the Vice President, which is aimed at holistically addressing all the operational challenges and bottlenecks of MSME in Nigeria,” Muhmud said.

According to him, the commission is one of the critical government agencies that has been participating in the on-going nationwide MSME Clinic that commenced in Aba in January.

He added that the MSME Clinic was expected to be held in all states of the federation.

“So far, the Clinic has been held in 13 states of the federation,” he said.

According to him, other relevant agencies like FIRS, SON, Bank Of Industry (BOI), NAFDAC, SMEDAN participated in the clinic. NAN)
